Terms of Service

1. Subject
These terms govern your use of WooshPayment (the "Service") as a merchant ("you", "User"). By creating an account or using the Service you accept these terms in full.
The Service is provided by WooshPayment LLC, a company incorporated under the laws of Delaware (USA), with registered office at 8 The Green, Suite A, Dover, DE 19901, United States. Contact email: noreply@wooshpayment.com.
2. What WooshPayment is
WooshPayment provides a one-page checkout experience that replaces the standard Shopify or WooCommerce checkout. WooshPayment is not a payment processor: processing is performed by partners such as Whop Payments, which operate under their own regulatory framework.
3. Account and responsibility
- You must be at least 18 years old and have legal capacity to enter into contracts.
- You are responsible for the security of your credentials.
- You are responsible for compliance with local laws (VAT, invoicing, consumer rights).
- The data you provide must be truthful and up to date.
4. Prohibited uses
You may not use WooshPayment to:
- Sell illegal products (drugs, unregulated weapons, pirated content, etc.)
- Commit fraud, money laundering, or terrorism financing
- Sell products prohibited by Whop or Shopify policies
- Attempt to compromise the security of the Service
We may suspend or terminate your account immediately in case of violation, without notice.
5. Pricing
Current pricing is published at wooshpayment.com/pricing. The Starter plan is free up to 50 orders/month and $1,000 monthly volume. Above this threshold, an upgrade to Growth or Scale is required. Whop fees on card payments (5% + $0.30) are separate and billed directly by Whop to the merchant.
Price changes take effect with 30 days' notice via email.
6. Payouts to merchants
Sales funds arrive directly in the bank account configured in Whop, on Whop's settlement schedule (typically T+2 business days). WooshPayment does not hold merchant funds.
7. Service availability
We do our best to guarantee 99.9% uptime but do not offer contractual SLAs on the Starter and Growth plans. The Scale plan includes a 99.95% SLA. WooshPayment reserves the right to schedule maintenance windows with prior notice.
8. Limitation of liability
To the maximum extent permitted by law, WooshPayment is not liable for indirect damages, lost profits, or data loss. WooshPayment's total liability is capped at the amount paid in the last 12 months (or €100 for free plans).
9. Cancellation
You can cancel your account at any time from settings. The consumer right of withdrawal (Italian Legislative Decree 206/2005) does not apply because WooshPayment is a B2B service. No refund for billing periods already invoiced.
10. Governing law and venue
These terms are governed by the laws of the State of Delaware (USA), without regard to conflict of law principles. Disputes related to the Service will be subject to the exclusive jurisdiction of the courts of New Castle County, Delaware, USA.
Mandatory rights granted to Users residing in the European Union by mandatory laws of their country of residence remain unaffected, including consumer rights where applicable to natural persons acting for purposes unrelated to their professional activity.
